Welcome to the Archdiocese of the Sacred Heart. These Terms & Conditions (“Terms”) govern your access to and use of this website and any services offered by the Archdiocese of the Sacred Heart (“we”, “us”, “our”). By accessing or using http://archsh.org (the “Site”) or any of our services, you agree to these Terms. If you disagree, please do not use the Site or our services.


1. Definitions

Client / you / your means any person or entity using the Site or our service offerings.

Services mean consultation, advisory, support, training, or other professional services provided by the Archdiocese of the Sacred Heart.

Content includes all materials, text, images, data, reports, tools, functionality, software, and information made available through the Site or by us.


2. Use of the Site

You must be at least 18 years old (or the legal age in your jurisdiction) to use our services.

You agree to use the Site only for lawful purposes, and in a way that does not infringe the rights of, restrict or inhibit anyone else’s use of the Site.

You must not try to gain unauthorized access to any part of our Site, server, network, or other accounts, or systems through hacking, password mining, or any other means.


3. User Accounts

If registering for an account, you agree to provide accurate, current, and complete information.

You’re responsible for maintaining the confidentiality of your account credentials and agree to accept responsibility for all activities that occur under your account.

We reserve the right to terminate or suspend your account, with or without notice, for breach of these Terms or for any reason we deem appropriate.


4. Services & Donations

Details of services (“scope”), deliverables, timelines, and fees will be agreed upon in writing (e.g., via proposal, contract or invoice) before commencement.

All donations are due as specified in the agreement. Late payments may incur interest or penalty charges.

We may revise our donation requirements or change our pricing structure in the future, at our discretion, but will give notice where required.


5. Intellectual Property

All content, trademarks, logos, designs, software, and other intellectual property associated with the Site and our Services are owned by or licensed to us, unless otherwise noted.

You may not reproduce, distribute, modify, create derivative works from, publicly display, or commercialize any content from the Site without our prior written consent.


6. Confidentiality

We may share or exchange confidential information during our work together. “Confidential Information” means non-public information you or we provide that is clearly designated as confidential.

Both parties agree not to disclose such confidential information to any third party, except as required by law, and to take reasonable steps to maintain its confidentiality.


7. Disclaimers & Limitation of Liability

THE SITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. We do not warrant that the Services will be error-free or uninterrupted.

To the fullest extent permitted by law, the Archdiocese of the Sacred Heart, its affiliates, officers, employees, agents, or licensors, shall not be liable for any indirect, incidental, special, consequential, or punitive damage arising from or related to your use of the Site or Services.

Our maximum aggregate liability to you for any claims arising out of or relating to the Services, however caused, shall not exceed the total donations paid to us by you under the specific contract or agreement giving rise to the claim.


8. Indemnification

You agree to indemnify, defend, and hold harmless the Archdiocese of the Sacred Heart and its affiliates, officers, agents, employees, and licensors from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees) arising out of or in any way connected with:

Your violation of these Terms.

Your use of the Site or Services.

Your violation of any law or the rights of a third party.


9. Privacy

Use of the Site is also governed by our Privacy Policy, which is hereby incorporated into these Terms. The Privacy Policy describes how we collect, use, store, and protect your personal information.


10. Links to Third-Party Sites

The Site may contain links to external websites that we do not operate. We are not responsible for the content, privacy practices, or terms of those websites. Linking does not imply endorsement.


11. Changes to Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date at the top, and where required by law, provide notice. Your continued use of the Site or Services after changes have been made means you accept the revised Terms.


12. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Florida, without regard to its conflict of laws and rules.

Any dispute arising under or relating in any way to these Terms or your use of the Site or Services shall be resolved through arbitration.


13. Severability

Suppose any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction. In that case, that provision shall be severed or modified to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.


14. Entire Agreement

These Terms (including any agreement, proposal or invoice you and we enter) constitute the entire agreement between you and the Archdiocese of the Sacred Heart regarding your use of the Site and the Services, and supersede all prior or contemporaneous communications, proposals or agreements, whether oral or written, relating to the same subject matter.

15. Additional Terms of Service

You can cancel the SMS service at any time. Simply text "STOP" to the shortcode. Upon sending "STOP," we will confirm your unsubscribe status via SMS. Following this confirmation, you will no longer receive SMS messages from us. To rejoin, sign up as you did initially, and we will resume sending SMS messages to you.

Carriers are not liable for delayed or undelivered messages.
